BeReady.study Terms of Use
Effective Date: June 21, 2026
These Terms of Use (“Terms”) govern your access to and use of BeReady.study, including its websites, applications, teaching tools, artificial intelligence features, student and parent features, Connected Storage features, and related services (collectively, the “Service”).
The Service is operated by BeReady Global LLC, a New Mexico limited liability company (“BeReady,” “we,” “us,” or “our”).
By creating an account, accessing the Service, or using any BeReady feature, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
1. WHO MAY USE BEREADY
BeReady is designed primarily for teachers, tutors, educators, students, parents, guardians, administrators, and other authorized educational users.
You must provide accurate account information and use the Service only in accordance with these Terms and applicable law.
If you use BeReady on behalf of a company, tutoring business, school, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
Students who are minors may use BeReady only when their use has been authorized by an appropriate parent, guardian, teacher, school, or other person who has legal authority to provide that authorization.
Teachers who add or manage minor students are responsible for obtaining any consent or authorization required by applicable law before providing a student’s personal information to BeReady.
Parents or guardians who create or use an account in connection with a minor represent that they have authority to act on behalf of that minor where such authority is required.
2. THE BEREADY SERVICE
BeReady provides software and technology intended to help teachers operate and support their teaching businesses and to provide educational services to students and families.
Depending on the account, plan, and features available, BeReady may provide tools for:
- student management;
- scheduling and class management;
- lesson reports;
- homework creation and review;
- speaking and writing practice;
- workbooks and teaching materials;
- PDF viewing and editing;
- vocabulary development;
- teacher policies;
- student and parent communication;
- AI-assisted teaching and learning tools;
- student learning profiles and educational insights;
- teacher resources and teaching libraries;
- Connected Storage;
- educational assessments and practice;
- reporting and analytics; and
- other teaching-business and educational features.
Features may differ by account, plan, location, device, development stage, or availability.
Some features may be experimental, beta, preview, limited-release, or subject to change.
3. TEACHERS ARE RESPONSIBLE FOR THEIR TEACHING BUSINESS
BeReady provides software and educational technology tools. It does not replace the professional judgment of a teacher.
Teachers remain responsible for:
- deciding what and how to teach;
- reviewing teaching materials before using them;
- reviewing AI-generated material before relying on it;
- evaluating student work;
- deciding whether particular material is appropriate for a student;
- assigning grades, scores, levels, or feedback where applicable;
- communicating appropriately with students and parents;
- obtaining legally required parent or guardian consent;
- complying with applicable education, privacy, consumer, tax, business, and other laws;
- maintaining records that the teacher is legally or professionally required to maintain; and
- determining whether BeReady-generated recommendations are suitable for a particular student.
BeReady does not guarantee any particular educational outcome, examination result, student improvement, student retention, business income, class volume, or teaching result.
4. ACCOUNTS AND ACCOUNT SECURITY
You are responsible for maintaining the confidentiality and security of your account credentials.
You must not:
- share your login credentials with an unauthorized person;
- allow another person to impersonate you;
- access another user’s account without authorization;
- attempt to bypass account, student, teacher, or workspace restrictions; or
- use another person’s credentials to access information you are not authorized to view.
You are responsible for activity conducted through your account unless the activity resulted from a security failure attributable to BeReady.
You must notify BeReady promptly if you believe your account has been compromised.
BeReady may require additional verification where reasonably necessary to protect an account, student information, Connected Storage, or the Service.
5. TEACHER WORKSPACES, STUDENT ACCOUNTS, AND PARENT ACCESS
BeReady uses workspaces, account relationships, and authorization controls intended to separate information belonging to different teachers, students, families, and organizations.
Teachers may access only students, parents, resources, workbooks, and other information that they are authorized to manage.
Students may access only information and features made available through their student account.
Parents or guardians may access only information associated with children or students properly linked to their account.
Parent access does not include private teacher notes or other information BeReady designates as teacher-only.
BeReady may change account permissions, authorization methods, or workspace functionality when reasonably necessary to improve security or provide the Service.
6. TEACHER MATERIALS AND USER CONTENT
You retain ownership of original materials that you create independently of BeReady and then upload, connect, import, or otherwise bring to BeReady, including teaching materials, documents, PDFs, worksheets, presentations, notes, photographs, and other content that you own or are legally permitted to use (“Teacher Materials”).
Uploading, connecting, viewing, editing, assigning, or using Teacher Materials through BeReady does not transfer ownership of those original Teacher Materials to BeReady.
You grant BeReady a limited, non-exclusive license to access, process, reproduce, transmit, transform, display, and temporarily or operationally store Teacher Materials only as reasonably necessary to provide, maintain, secure, and improve the Service.
You represent that you have all rights and permissions necessary to upload, connect, edit, copy, distribute, assign, or otherwise use materials you provide through BeReady.
You must not use BeReady to infringe another person’s copyright, trademark, privacy, publicity, contractual, or other legal rights.
Where a student adds original writing, answers, recordings, drawings, or other original work to a teacher-owned document, BeReady does not claim ownership of the student’s independently created intellectual property merely because it was submitted through the Service.
The underlying teacher-owned document remains Teacher Material, subject to any separate rights the student may have in the student’s own original contributions.
7. BEREADY-GENERATED MATERIALS AND THE GLOBAL LIBRARY
At the request of a teacher, administrator, or other authorized user, BeReady may create lesson materials, exercises, workbooks, presentations, teaching resources, AI-generated materials, templates, assessments, activities, or other educational content (“BeReady-Generated Materials”).
As between you and BeReady, BeReady-Generated Materials are the property of BeReady Global LLC to the maximum extent ownership or other intellectual property rights in those materials may exist under applicable law.
Requesting, directing, prompting, reviewing, editing, approving, downloading, assigning, or using BeReady-Generated Materials does not transfer ownership of those materials to the teacher, administrator, student, parent, or other user.
To the extent any transferable intellectual property right in BeReady-Generated Materials may vest in a user as a result of that user’s prompts, instructions, selections, edits, approval, or other participation in the generation process, the user assigns that right to BeReady Global LLC to the maximum extent permitted by law.
This assignment does not apply to pre-existing Teacher Materials merely because those materials are used as input, source material, or reference material.
BeReady retains its rights in:
- BeReady-Generated Materials;
- lesson materials generated through BeReady;
- exercises and assessments generated through BeReady;
- workbooks generated through BeReady;
- presentations generated through BeReady;
- teaching resources generated through BeReady;
- templates;
- Global Library materials;
- system designs;
- prompts and workflows;
- BeReady software and technology;
- BeReady branding; and
- other content created or supplied by BeReady.
BeReady may make BeReady-Generated Materials available to other teachers or users through the BeReady Global Library or other parts of the Service.
Where the Service includes an approval workflow, a teacher or administrator may be asked to review generated material before it becomes available for use or inclusion in the Global Library.
BeReady may remove teacher names, student names, personally identifying information, private notes, or other account-specific information before making BeReady-Generated Materials available more broadly.
Teachers receive a non-exclusive, revocable license to use BeReady-Generated Materials made available to them through the Service for legitimate teaching and educational purposes, subject to these Terms and any applicable account or plan limitations.
Teacher Materials remain different from BeReady-Generated Materials.
Original materials that a teacher creates independently of BeReady and then uploads, connects, imports, or otherwise brings to the Service remain the teacher’s property as described in Section 6.
Using teacher-owned material as source material, reference material, or input does not transfer ownership of the original Teacher Material to BeReady.
A teacher-owned original does not become BeReady property merely because it is opened, edited, stored, viewed, assigned, or used through BeReady or Connected Storage.
8. CONNECTED STORAGE
BeReady may allow teachers to connect third-party storage providers such as Microsoft OneDrive or Google Drive (“Connected Storage”).
Connected Storage allows BeReady to act as an operating, viewing, editing, or management layer while files remain associated with the teacher’s third-party storage account.
Connecting a storage provider does not transfer ownership of your files to BeReady.
You authorize BeReady to access, read, download, create, copy, edit, save, transmit, and manage selected files in your Connected Storage account only to the extent reasonably necessary to perform actions that you request, authorize, or enable through the Service.
BeReady may create designated folders, working files, or student-specific copies in your Connected Storage account where a feature requires them.
For example, BeReady may create a student workbook copy from a reusable teacher master.
Teacher-owned originals and reusable master files remain teacher-owned.
A student-specific copy created by BeReady from Teacher Materials remains teacher-controlled material and does not become BeReady property merely because BeReady created the copy.
BeReady may maintain temporary data, working state, annotations, caches, recovery information, or other operational information necessary to allow Connected Storage files to function through the Service.
9. CONNECTED STORAGE AND STUDENT DELETION
When a teacher or authorized administrator permanently deletes a student, BeReady may delete BeReady-created student-specific workbook copies associated with that student from Connected Storage.
BeReady does not delete a reusable teacher master or teacher-owned original merely because a student is permanently deleted.
A Connected Storage provider may place a deleted file in its recycle bin, trash, recovery area, or similar system according to that provider’s own policies.
Archiving a student is different from permanently deleting a student.
Archiving is intended to retain the student’s BeReady data, records, history, and workbook relationships unless otherwise stated in the Service.
Disconnecting Connected Storage does not necessarily delete files already located in the third-party provider.
Termination or deletion of a BeReady account also does not necessarily delete files located in a third-party storage provider.
You remain responsible for managing your external storage account and retaining copies of files you wish to keep.
10. THIRD-PARTY SERVICES
BeReady may integrate with third-party services, including storage providers, communication services, video-conferencing platforms, artificial intelligence providers, authentication providers, infrastructure providers, and other technology services.
Your use of a third-party service may also be governed by that provider’s own terms, policies, and privacy practices.
BeReady is not responsible for:
- outages caused by a third-party service;
- changes made by a third-party provider;
- suspension or termination of your third-party account;
- third-party storage limits;
- third-party deletion or recycle-bin policies;
- changes to third-party APIs;
- loss of third-party functionality; or
- acts or omissions of a third-party provider outside BeReady’s reasonable control.
BeReady may modify, restrict, replace, or discontinue an integration if the third-party provider changes, restricts, or discontinues functionality required for that integration.
11. ARTIFICIAL INTELLIGENCE FEATURES
BeReady uses artificial intelligence in certain features.
AI features may assist with tasks including:
- educational analysis;
- lesson preparation;
- teaching-material generation;
- student feedback;
- homework generation;
- speaking and writing feedback;
- language analysis;
- vocabulary support;
- learning recommendations;
- summaries;
- translations;
- assessments; and
- other educational or business assistance.
Artificial intelligence can make mistakes.
AI-generated content may be incomplete, incorrect, outdated, inappropriate, misleading, or unsuitable for a particular student.
Teachers must review AI-generated material before relying on it or presenting it to a student or parent.
AI output is not a substitute for professional teaching judgment.
BeReady does not guarantee the accuracy, originality, completeness, legality, suitability, or educational effectiveness of AI-generated content.
Teachers remain responsible for final teaching decisions affecting their students.
12. STUDENT WORK, EDUCATIONAL ANALYSIS, AND AI
Student work may be processed by BeReady to provide educational features, teacher feedback, student feedback, learning profiles, progress tracking, recommendations, assessments, or other features enabled through the Service.
Student submissions may include writing, speech, audio, answers, drawings, worksheets, workbook activity, or other educational work.
Where a feature preserves original student work separately from AI feedback, teacher corrections, or revised submissions, BeReady may retain and process the original submission in accordance with the Privacy Policy to support educational analysis and progress tracking.
AI-generated corrections, suggestions, or feedback should not automatically be treated as the student’s original work where the distinction is relevant to the feature.
Teachers remain responsible for deciding how AI-generated feedback is used in instruction.
13. ACCEPTABLE USE
You may not use BeReady to:
- violate applicable law;
- infringe intellectual property or privacy rights;
- harass, threaten, exploit, abuse, or harm another person;
- distribute malware or malicious code;
- interfere with or disrupt the Service;
- probe, attack, or bypass security controls without authorization;
- obtain unauthorized access to another account, workspace, file, or system;
- scrape or extract information from the Service in an unauthorized manner;
- impersonate another person;
- submit fraudulent or deliberately misleading account information;
- facilitate unlawful activity;
- upload or use content you do not have the right to use;
- intentionally consume excessive system resources in a manner that disrupts the Service;
- circumvent usage limits, account restrictions, billing controls, or security measures; or
- use BeReady in a manner that creates unreasonable legal, security, operational, educational, or reputational risk.
14. INAPPROPRIATE, HARMFUL, OR PROHIBITED MATERIALS
Teachers, students, parents, administrators, and other users may not create, upload, transmit, request, generate, distribute, display, assign, store, or use content through BeReady that is unlawful, exploitative, seriously inappropriate, or harmful.
Prohibited material includes, without limitation:
- child sexual abuse material;
- sexualized content involving minors;
- content that sexually exploits, grooms, solicits, or endangers a child or vulnerable person;
- pornography or sexually explicit material that does not have a legitimate, lawful, and age-appropriate educational purpose;
- credible threats of violence;
- material intended to promote, facilitate, or celebrate serious violence or abuse;
- graphic or gratuitous violent content primarily intended to shock, threaten, or glorify harm;
- content encouraging suicide, self-harm, abuse, or dangerous illegal activity;
- hateful or dehumanizing content targeting a person or group based on characteristics protected by applicable law;
- severe harassment, bullying, stalking, intimidation, or exploitation;
- content intended to facilitate serious criminal activity;
- malicious or fraudulent material;
- material that unlawfully exposes private or personal information;
- material that unlawfully infringes intellectual property rights; or
- other material that BeReady reasonably determines presents a serious safety, legal, educational, or platform-integrity risk.
This section does not prohibit legitimate, lawful, and age-appropriate educational discussion of sensitive subjects where the material is reasonably related to a genuine educational purpose.
Because BeReady may be used by students who are minors, BeReady may apply heightened restrictions to material accessible to or involving children.
BeReady may remove, block, restrict, preserve, or investigate prohibited material.
A teacher, student, parent, administrator, or other user who creates, uploads, requests, distributes, possesses, or uses prohibited material through the Service may have their account restricted, suspended, or terminated.
Serious violations may result in immediate account termination without prior warning.
Where required or permitted by law, BeReady may preserve relevant records and report suspected unlawful conduct, child exploitation, abuse, threats, or other serious misconduct to appropriate authorities or service providers.
15. TEACHER PLANS, FEES, AND BILLING
This section concerns fees that teachers or other authorized business users pay BeReady Global LLC for access to the Service.
Certain teacher features may require a paid subscription, paid plan, usage allowance, or other fee.
The price, billing period, included features, included usage, and applicable limits will be disclosed when you select or purchase a paid plan.
If you purchase a recurring subscription, you authorize BeReady and its authorized payment provider to charge the applicable fees according to the billing cycle presented at purchase until the subscription is cancelled or otherwise ends.
You are responsible for:
- maintaining accurate billing information;
- paying applicable fees when due;
- applicable taxes, duties, or government charges other than taxes imposed on BeReady’s income; and
- charges incurred through authorized use of your account.
A plan may include limits relating to:
- artificial intelligence usage;
- file storage;
- workbook storage;
- file processing;
- generated materials;
- speaking or homework processing;
- usage volume; or
- other resource-intensive features.
BeReady may enforce reasonable usage limits, rate limits, storage limits, or fair-use controls associated with a plan.
Unless otherwise stated at the time of purchase or required by applicable law, fees already paid are non-refundable.
If a payment fails or remains overdue, BeReady may:
- retry the charge;
- restrict access to paid features;
- suspend some or all Service access; or
- terminate the applicable paid plan.
BeReady may change plan prices, included features, or usage limits from time to time.
For recurring paid plans, material pricing changes will apply prospectively. Where reasonably practicable or legally required, BeReady will provide notice before a changed price applies to a future billing period.
16. FREE, TRIAL, BETA, OR PROMOTIONAL ACCESS
BeReady may provide free, trial, beta, preview, promotional, discounted, or limited-access features.
Such access may:
- have reduced usage limits;
- contain experimental functionality;
- change without notice;
- be suspended or discontinued; or
- later require a paid plan.
Beta or preview features may contain errors and should not be relied upon as the sole repository for important business or educational records.
17. SERVICE AVAILABILITY AND CHANGES
BeReady works to keep the Service available and functional, but uninterrupted availability is not guaranteed.
The Service may be temporarily unavailable because of:
- maintenance;
- software updates;
- security incidents;
- provider outages;
- internet failures;
- infrastructure failures;
- third-party service failures; or
- circumstances outside BeReady’s reasonable control.
BeReady may change, improve, replace, restrict, or discontinue features where reasonably necessary.
Where a change materially affects a paid core feature, BeReady will make reasonable efforts to provide appropriate notice when practicable.
18. BACKUPS AND IMPORTANT RECORDS
BeReady is not intended to be the sole permanent repository for every critical teaching-business record.
Teachers should maintain separate copies of important information and materials where loss or temporary lack of access would significantly affect their business, students, or legal responsibilities.
This may include:
- critical teaching documents;
- financial records;
- legal records;
- important student records;
- original teaching materials;
- teaching schedules; and
- other information the teacher is legally or professionally required to retain.
Teachers are specifically encouraged to keep an offline backup of their teaching schedule so that they can continue to access essential class information if BeReady is temporarily unavailable.
BeReady provides schedule-backup tools to make this easier.
From the Schedule tab, teachers may use the “Download Today” option to save a current-day schedule backup.
From Schedule Settings, teachers may download an Offline Schedule Backup covering a selectable range of up to 30 calendar days.
Available backup formats may include:
- Calendar (.ics), which can be imported into compatible calendar applications such as Outlook, Apple Calendar, or Google Calendar; and
- Schedule PDF, which can be opened directly on a compatible device for reading, printing, travel, or offline use.
Schedule backups are static snapshots. They reflect the schedule as it existed at the time of download and do not automatically update if classes are later added, cancelled, rescheduled, reassigned, or otherwise changed. Teachers should download a fresh backup when they want the most current schedule.
Schedule backups may include information such as:
- the class source, including BeReady ([BR]) or supported external schedule sources such as AmazingTalker ([AT]);
- the classroom;
- the class join link; and
- for matched individual students, the last class topic as optional teaching context.
For privacy, individual lessons use the student’s first name only where applicable. Group lessons may show the group name and participant count.
Schedule backups are not intended to contain private teacher notes, homework, transcripts, parent information, or other sensitive student information.
Connected Storage may allow a teacher to maintain files in their own third-party storage account, but the availability and recovery of those files also depend on the applicable storage provider.
BeReady does not guarantee that lost, corrupted, deleted, unavailable, or outdated information can always be recovered.
19. PRIVACY
BeReady’s collection, processing, use, retention, and handling of personal information is described in the BeReady Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
Teachers who provide student or parent information to BeReady represent that they have an appropriate legal basis, authorization, or consent to provide that information where required.
Teachers are responsible for determining what student or parent information is appropriate to enter into the Service.
20. INTELLECTUAL PROPERTY
Except for Teacher Materials, student-owned original work, and other user-owned content as described in these Terms, BeReady and its licensors retain all rights, title, and interest in the Service.
This includes, to the extent protected by applicable law:
- software;
- source code;
- application design;
- interfaces;
- workflows;
- databases;
- trademarks;
- logos;
- proprietary technology;
- Global Library assets;
- templates;
- BeReady-Generated Materials; and
- other BeReady intellectual property.
These Terms do not transfer ownership of BeReady intellectual property to you.
Except as permitted by law or expressly authorized by BeReady, you may not copy, sell, sublicense, distribute, reverse engineer, circumvent, commercially exploit, or create unauthorized derivative services from BeReady software or proprietary technology.
21. FEEDBACK
If you provide suggestions, ideas, recommendations, feature requests, product feedback, or other feedback regarding BeReady, you grant BeReady permission to use that feedback without restriction or compensation to you.
This does not transfer ownership of your Teacher Materials, student work, or private business information.
22. SUSPENSION AND TERMINATION
You may stop using BeReady at any time.
Teachers may cancel a paid plan according to the cancellation method made available through the Service.
BeReady may restrict, suspend, or terminate a teacher, student, parent, administrator, or other user account where reasonably necessary because of:
- violation of these Terms;
- creation, upload, request, generation, distribution, possession, or use of prohibited or inappropriate materials through the Service;
- conduct that threatens the safety or welfare of a child, student, teacher, or other person;
- nonpayment of applicable teacher subscription or Service fees;
- fraudulent activity;
- security threats;
- unauthorized access;
- abuse or misuse of the Service;
- infringement of intellectual property or privacy rights;
- legal or regulatory requirements; or
- conduct that creates material legal, security, operational, educational, or reputational risk to BeReady, its users, students, providers, or third parties.
Depending on the nature and severity of the violation, BeReady may provide notice and an opportunity to correct the issue before suspension or termination.
However, BeReady may act immediately and without prior notice where we reasonably believe immediate action is necessary to:
- protect a child or another person from harm;
- respond to unlawful or exploitative material;
- protect account or platform security;
- prevent fraud or abuse;
- comply with law or a valid legal request; or
- prevent serious harm to BeReady, its users, or third parties.
Termination of a teacher account may affect access to associated BeReady workspace features.
Termination of a student account may prevent that student from accessing BeReady even if teaching records relating to that student remain available to an authorized teacher where permitted by applicable law and the Privacy Policy.
Account termination is not necessarily the same as immediate deletion of all related data.
Some information may remain after suspension or termination where reasonably necessary for:
- legal obligations;
- child-safety or abuse investigations;
- security;
- fraud prevention;
- billing records;
- dispute resolution;
- backups;
- provider cleanup;
- audit records; or
- other legitimate purposes described in the Privacy Policy.
Files stored in Connected Storage are not necessarily deleted when a BeReady account is suspended or terminated.
23. NO EMPLOYMENT, AGENCY, OR PARTNERSHIP
Teachers using BeReady remain independent users of the Service.
Nothing in these Terms creates:
- an employment relationship;
- partnership;
- joint venture;
- franchise;
- fiduciary relationship; or
- agency relationship
between BeReady and a teacher.
Teachers remain responsible for their own teaching businesses, clients, taxes, licenses, insurance, contractual obligations, and professional decisions.
24. NO GUARANTEE OF EDUCATIONAL OR BUSINESS RESULTS
BeReady provides tools intended to assist teaching and learning.
BeReady does not guarantee:
- improvement in a student’s language ability;
- examination results;
- grades;
- certification;
- admission to an educational institution;
- student retention;
- teacher income;
- teacher-client relationships;
- class volume;
- business growth; or
- any other specific educational or commercial result.
Results depend on many factors outside BeReady’s control.
25. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEREADY AND THE SERVICE ARE PROVIDED:
“AS IS”
AND
“AS AVAILABLE.”
BEREADY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

BEREADY DOES NOT WARRANT THAT:

- EVERY FILE OR RECORD CAN BE RECOVERED; OR
- USE OF THE SERVICE WILL PRODUCE ANY PARTICULAR TEACHING, STUDENT, OR BUSINESS OUTCOME.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
26. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEREADY GLOBAL LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION:
- LOST PROFITS;
- LOST REVENUE;
- LOST BUSINESS;
- LOSS OF DATA;
- LOSS OF TEACHING MATERIALS;
- LOSS OF GOODWILL;
- INTERRUPTION OF BUSINESS;
- THIRD-PARTY SERVICE FAILURE;
- LOSS ARISING FROM CONNECTED STORAGE FAILURE; OR
- LOSS ARISING FROM RELIANCE ON AI-GENERATED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF BEREADY GLOBAL LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) US $100; OR
(B) THE AMOUNT YOU PAID TO BEREADY FOR YOUR MOST RECENT BILLING PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory of liability and even if BeReady has been advised that damages were possible.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
27. INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless BeReady Global LLC and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and reasonable legal fees arising from or related to:
- your violation of these Terms;
- your unlawful use of the Service;
- Teacher Materials or other content you provide;
- your infringement of another person’s rights;
- your teaching-business activities;
- your relationship with students or parents;
- your failure to obtain legally required consent or authorization;
- your violation of applicable law;
- prohibited or inappropriate materials you submit, request, upload, or distribute; or
- your misuse of Connected Storage or third-party services.
BeReady may assume control of the defense of a matter subject to indemnification where reasonably necessary, and you agree to cooperate with that defense.
28. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles.
Unless applicable law requires otherwise, disputes arising out of or relating to these Terms or the Service will be brought in an appropriate state or federal court located in New Mexico, and you consent to the jurisdiction of those courts.
Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief where legally available.
29. CHANGES TO THESE TERMS
BeReady may update these Terms from time to time.
If we make material changes, we will take reasonable steps to notify affected users, which may include:
- posting updated Terms;
- displaying a notice through the Service;
- providing an account notification; or
- sending an email.
Updated Terms will state their effective date.
Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
30. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without BeReady’s prior written consent.
BeReady may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or transfer of some or all of its business.
31. SEVERABILITY
If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
32. WAIVER
Failure by BeReady to enforce any provision of these Terms does not waive BeReady’s right to enforce that provision or another provision later.
33. HEADINGS
Section headings are provided for convenience and do not limit or alter the meaning of these Terms.
34. ENTIRE AGREEMENT
These Terms, together with the BeReady Privacy Policy and any additional terms presented for a particular paid plan or feature, constitute the agreement between you and BeReady regarding use of the Service.
If additional written terms expressly conflict with these Terms, the more specific terms will govern for the applicable feature, plan, or service.
